    About Wendy

    Wendy guides companies, investors, and financial institutions through the full arc of a deal. From letter of intent through diligence, negotiation, closing, and the post-closing details that determine whether an acquisition actually delivers. With more than seven years advising startups, emerging companies, private equity sponsors, and family office clients, she brings a deal counsel's eye to roll-up transactions, private-company acquisitions, cross-border market entry, and reverse-merger and public-company structures. Ms. Culbertson is admitted to practice in Arizona and Texas.

    M&A & Transactional Practice

    Ms. Culbertson supports mergers and acquisitions from term sheet through post-closing integration, running legal and commercial due diligence on proposed investments, material contracts, tax receivable agreements, and transaction structures. She has advised cross-border companies, private equity stakeholders, and a family office on U.S. market entry, roll-up strategy, private-company acquisitions, and potential reverse-merger or public-company structures, and has helped technology and healthcare clients prepare for public offerings by organizing governance documents, reviewing material agreements, and managing virtual data-room and war-room processes.

    Capital Markets & Securities

    On the capital markets side, Ms. Culbertson advises issuers and placement agents on Regulation D, Regulation CF, Regulation S, and Rule 144A offerings, Section 5 exemption analysis, and SEC comment-letter strategy, including complex restatement matters under ASC 805. She drafts Forms C, private placement memoranda, subscription agreements, and investor disclosures, and guides public companies through Forms 10, 8-K, 1-A, and proxy reporting obligations.

    Fund Formation, Financings & Governance

    Her practice also covers fund formation, convertible notes, and seed and venture financings, alongside capitalization tracking, board and stockholder documentation, and outside general counsel support for fintech, blockchain, and other technology-sector clients.
